什么是公司决议?

公司决议一般指就某一问题由公司的董事会通过董事会议投票表决而得出结果 并付诸实践的一种公文形式。

在写作时，首先介绍会议的基本情况，包括时间、地点、会议性质（如第几次、 第几届或临时会议等等）；然后说明会议的通知情况及与会者到会情况，包括通知的 时间、方式、到会人数和应到人数等；接下来用一句话介绍会议是由谁主持的；然后 是决议的重点部分一会议议案的表决情况，需介绍会议审议并通过了哪几项议案， 以及与会者中赞成和反对的比例；最后是与会者签名，并在文章的最后而右下方注明 开会的团体名称、公司的全称及决议发表的时间。

The Board of Directors’ Resolution

The company held the ninth meeting of the second session of the Board of Directors on May 2，2009 in the meeting hall of the company. All the directors were informed on April 25, 2009 of the meeting by phone. The number of directors supposed to attend is 9 and the actual one is the same, with other 2 supervisors present too. The meeting was presided over by the Board Chairman Mr. David Door and made the following resolutions:

The Mid-term Work Report of the Managing Director of the year 2008 was discussed and approved.

The company’s Mid-term Financial Report of the year 2008 was discussed and adopted.

The company’s Mid-term Report of the year 2008 was discussed and passed.

Mr. David Brown was selected as a new director since Director Mr. John Bush had resigned for more than a month.

There is to be no profits allotment for the mid-term of the year 2008.

Among the 9 directors, 6 people vote for the resolutions while the rest 3 against.Therefore, the resolutions are valid and will take effect thereafter.

本公司董事会于2009年5月2号在公司会议室召幵了第二届董事会第九次 会议。此次会议已于2009年4月25日电话通知了所有董事。会议应到董事9 人，实到董事9人，并有2名监事列席会议。会议由董事长戴维杜尔先生主持， 并做出如下决议：

审议并通过了 2008年度《中期总经理工作报告》。

审议并通过了 2008年度《中期财务报告》。

审议并通过了 2008年度《中期报告》。

鉴于约翰布什先生辞去董事职务已超过一个月，戴维布朗先生被任 命为公司新董事。

公司2008年度中期不进行利润分配。

与会的9名董事中，有6人持赞成意见，其余3人持反对意见。因此，本 决议是有效的并即时生效。
